MK Group undergoes a major corporate transformation, establishing nine new holding companies to optimize its diverse portfolio and streamline operations

Two weeks ago, MK Group redistributed part of its assets and liabilities to nine newly established companies, significantly altering its ownership structure. According to documentation from the Business Registers Agency, this move resulted in a reduction of MK Group’s core capital from RSD 6.13 billion to RSD 223,068.24 by the end of October.

The restructuring involved transferring ownership stakes and liabilities to the following companies:

MKGB66 Project d.o.o. Beograd: Received real estate in New Belgrade, including a consignment warehouse of 3,212 square meters, and short-term liabilities of RSD 20 million.

PIK-Bečej Holding d.o.o. Bečej: Acquired 100% ownership of PIK-Bečej d.o.o. and short-term liabilities of RSD 1.63 billion.

BDA Development Holding d.o.o. Dobanovci: Received 100% ownership of BDA Development d.o.o., with no liabilities transferred.

Carnex Holding d.o.o. Vrbas: Took over 100% ownership of Carnex d.o.o. Meat Industry, with no liabilities.

Sunoko Holding d.o.o. Novi Sad: Acquired a 50.01% stake in MK Logistika d.o.o., an 18.64% stake in Sunoko d.o.o., working capital of RSD 2.1 billion, long-term liabilities of RSD 1.97 billion, short-term liabilities of RSD 200 million, and deferred tax liabilities of RSD 585 million.

Agrounija Holding d.o.o. Inđija: Gained 100% ownership of Agrounija d.o.o. Inđija, with no liabilities.

MK Mountain Resort Holding d.o.o. Kopaonik: Received 100% ownership of MK Mountain Resort d.o.o. Kopaonik and RSD 251 million in short-term liabilities.

MK Other SMEs d.o.o. Beograd: Acquired 100% ownership in PP Erdevik and MK Lake Resort Holding d.o.o., a 67% stake in Victoria Group non-core Novi Sad, and 2.69% of shares in Novosadski Sajam AD.

All newly established companies are owned by Wheat Corn Holding B.V., a Dutch company that is also the registered owner of MK Group. Each company is registered under the same activity—holding company operations.

This restructuring highlights MK Group’s strategic effort to streamline its business and adapt its corporate structure to future market demands.
